MIDLAND HISTORICAL SOCIETY BYLAWS
ARTICLE I

Membership
Midland Historical Society's membership is open to all interested in the history of the Midland area. Membership is accepted after the payment of dues. Dues are payable January of each year.
A member shall be in arrears after three months of non-payment and will be dropped from membership. |
ARTICLE II

Dues, Fees, and Finances
The Society's dues are assessed by calendar year, renewals are payable January 1, and shall be delinquent April 1. The Board of Directors will recommend dues for approval by the membership.
The fiscal year shall be from January 1 to December 31. The Budget and Finance Committee shall prepare the annual budget for the next year, to be approved by the Board of Directors and ratified by the membership at the Society's first scheduled meeting of the fiscal year. |

Meetings
The meetings of the Society shall be held on the third Tuesday of the month, with at least three meetings being held each year.
Special meetings shall be called by the President as needed, with advance notice of at least fourteen days to the membership. The President shall call special meetings of the Board with notice of at least fourteen days. The quorum for each meeting shall be 2/3 of the membership present. |

Officers and Duties
Midland Historical Society Officers shall consist of President, Vice-President, Secretary, Treasurer, and three Members-At-Large. The Officers shall be elected in January by the membership for a term of one year.
The President shall preside over the Society meetings and serve as the Chairman of the Board of Directors. The President shall appoint committees determined to be necessary for the functions of the Society with the approval of the Board and shall serve as the ex officio member of all committees except the Nominating Committee. The Vice-President shall assume the duties of the President in the event of absence, incapacity, or resignation of the President. The Vice-President shall maintain the official records of membership. The Secretary shall keep a record of the proceedings of meetings of the Board of Directors and the Society. The Secretary shall maintain the office of the Society. The Treasurer shall be the trustee of the funds of the Society, maintaining adequate financial records, and collecting all dues. The Treasurer shall present an annual report on the finances of the Society based on the calendar year. In the absence of the Treasurer, the President and Vice-President shall assume the duties of the Treasurer. The Board of Directors shall consist of the President, Vice-President, Secretary, Treasurer and three Members-At-Large. |
ARTICLE V

Committees
The President shall appoint members of any committee with approval of the Board of Directors. Committees shall include a Budget and Finance Committee, a Nominating Committee for the slate of officers, and a Membership Committee. Other committees will be created as determined by the Board of Directors.

ARTICLE VI
|
Rules of Order
The latest edition of Robert's Rules of Order Newly Revised shall be the authority governing the meetings of the Society when not in conflict with the Constitution and Bylaws of the Society.

ARTICLE VII
|
Amendment
The Bylaws may be amended by a two-thirds vote at any meeting with the written notice of the proposed amendment being sent to the members at least thirty days prior to the meeting.
